Arbitration is more informal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, allows for more limited discovery than in court, and is subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award.

Commencing Arbitration. A party intending to seek arbitration must first send to the other, by an international courier with a tracking mechanism, a written notice of intent to arbitrate (a “Notice”), or, in the absence of a mailing address provided by you to Administrator, via any other method available to Administrator, including via e-mail. The Notice to Administrator must be addressed to CARECLICK TECHNOLOGIES LIMITED (8 Bayo Olagoke Street, Lekki Phase 1, Lagos, Nigeria), Attn: Managing Director (the "Arbitration Notice Address"). If you and Administrator do not reach an agreement to resolve a claim within 30 days after the Notice is received, then you or Administrator may commence an arbitration proceeding as set forth below or file a claim in small claims court

If the Dispute cannot be settled within fourteen (14) days by mutual discussions, or in accordance with the provisions of Clause 16, then the Dispute shall be finally settled under the provisions of this Clause 17.4.

• (a) Subject as hereinafter provided, any dispute arising out of, or in connection with, this Agreement not settled as provided under Clause 16 and 17.1 shall be finally settled by arbitration under the Arbitration and Conciliation Act, CAP A18, of the Laws of the Federation of Nigeria. (Where the Subscriber is resident I another country, the UNCITRAL Rules of Arbitration shall apply.

  It is hereby agreed that:

• The seat of the arbitration shall be Lagos, Nigeria
• There shall be one arbitrator.
• The language of arbitration shall be English.
• The costs of the arbitration shall be borne equally by the Parties.
• The award shall be in writing and shall set forth in reasonable detail the facts of the Dispute and the reasons for the tribunal’s decision.
• The award in such arbitration shall except where there is manifest error in law or fact, be final and binding upon the Parties and judgment thereon may be entered in any Court having jurisdiction for its enforcement.
• The arbitral award shall not include any consequential or punitive damages.

The Parties shall jointly appoint an arbitrator within thirty (30) days of the date of the request to initiate arbitration. Where both Parties cannot agree to a joint arbitrator, then, within the time limits set forth in the preceding sentences the arbitrator shall be appointed by the President of the Chartered Institute of Arbitration, Nigeria.
